Terms and Conditions

A. Overview
These Terms and Conditions govern your participation in the Dream Team Creator Program operated by Alleyoop, Inc. (the Company, Alleyoop, we, us, or our).
The Dream Team Creator Program allows approved creators to promote Alleyoop products using a unique referral link or code and earn commissions on qualifying purchases.
Participation in the program does not create an employment, partnership, joint venture, agency, or representative relationship between you and Alleyoop.
You must be eighteen years of age or older. By applying for or participating in the program, you agree to be bound by these Terms. Failure to follow these Terms may result in immediate termination and loss of unpaid commissions.
B. Content Creator Contract, Likeness Rights, and Commission
Content Rights and Usage
By participating in the program, you grant Alleyoop a non exclusive, worldwide, royalty free license to use your content, name, image, voice, and likeness across paid and organic channels. This includes advertising, website use, email, social content, and any brand owned or third party placements. This permission applies to any assets you create for the program or share with Alleyoop.
Commission Structure
Upon approval, you will receive a unique referral link or discount code (the Ambassador Link). You may only have one Ambassador Link. Any attempt to create multiple links is grounds for termination.
You will earn a ten percent commission on net revenues. Net revenue means the customer payment for eligible products, excluding taxes, shipping, shipping insurance revenue, refunds, chargebacks, fraud, and any discounts not tied to your Ambassador Link.
Commission Eligibility for Paid Usage
If Alleyoop uses your content in paid ads, payouts are only made on winning ad performance. An ad is considered winning when it meets or exceeds a one point five return on ad spend measured on a one day click basis inside Meta Ads Manager. Commissions for paid ads are calculated from net revenue only, using the same exclusions listed above.
Alleyoop may adjust commission rates, payment timing, or eligibility rules at any time. Continued participation confirms acceptance.
You acknowledge that commissions are the only compensation for your participation. You are not entitled to wages, benefits, or equity.
C. Permitted Uses of Your Ambassador Link
You may share your Ambassador Link on:
• Personal social media accounts
• Your own website or blog
• Newsletters sent to your own subscribers
• Organic content on Instagram, TikTok, YouTube, Pinterest, and similar platforms
Content must be your own, authentic, and based on your honest experience. You must follow all advertising laws, FTC disclosure rules, and platform requirements.
You are responsible for reviewing and following any guidance that Alleyoop shares regarding preferred usage.
D. Prohibited Uses of Your Ambassador Link
You may not:
• Share your link on coupon or deal websites
• Use paid ads to promote your link
• Bid on Alleyoop brand terms
• Reuse Alleyoop owned creative or other creators’ content without permission
• Misrepresent pricing, promotions, availability, or product claims
• Post your link in spam or automated outreach
• Promote your link on Alleyoop owned pages or other creator profiles
• Imply employment or spokesperson status
• Use inappropriate or misleading language
• Contact Alleyoop staff through personal accounts for launch or order information
• Request order details for purchases made through your link
Any violation of this section may result in immediate removal and loss of unpaid commissions.
E. Representations and Warranties
You represent and warrant that:
• You are at least eighteen years old
• You have legal authority to enter into these Terms
• Your content does not infringe rights of others
• You will not violate any laws or third party agreements
• You will not engage in abusive, hateful, fraudulent, or misleading behavior
• You will not make unapproved product claims
F. Term
These Terms begin once you are accepted into the program and continue until ended by you or Alleyoop.
Alleyoop may suspend or terminate your participation at any time. Upon termination, you must stop using your Ambassador Link and remove promotional content upon request.
Earned commissions will be paid according to Alleyoop policies unless forfeited due to a violation.
G. Confidential Information
You may receive confidential information such as launch plans, internal communications, performance data, commissions, or strategy. You agree to keep this confidential unless you receive written permission to share it.
This confidentiality requirement continues even after termination.
H. Indemnification
You agree to indemnify, defend, and hold harmless Alleyoop and its affiliates from any claims, losses, or costs resulting from your participation, your content, your behavior, or any breach of these Terms.
I. No Publicity Rights
You may not issue press releases or public announcements that suggest an official partnership without written permission. Participation does not grant trademark rights beyond allowed promotional use.
J. Non Disparagement
You agree not to make false or harmful statements about Alleyoop, its team, its creators, or its products. Respectful and truthful personal opinions are allowed.
K. Miscellaneous
Independent Contractors
You act as an independent contractor. You are responsible for your taxes.
Assignment
You may not transfer your rights under these Terms without written approval. Alleyoop may assign these Terms, including in a merger or sale.
Amendments
Alleyoop may update these Terms at any time. Continued participation means you accept the changes.
Arbitration
Disputes will be resolved through binding arbitration. Each party covers its own costs unless required otherwise by law.
Governing Law
These Terms are governed by the laws of the jurisdiction where Alleyoop is organized.
Severability
If any section is unenforceable, the remaining sections stay active.
No Waiver
Failure to enforce any provision does not waive the right to enforce it later.
Entire Agreement
These Terms replace all previous agreements regarding the program.
Knowing and Voluntary Agreement
By joining the program, you confirm that you understand and accept these Terms and had the chance to seek legal advice.
